II. Provide the highest quality products, at fair and reasonable prices;
III. Exchange or refund the purchase price of any product, service or membership as provided in our Return Policy;
IV. Deliver orders promptly and accurately;
V. Pay commissions accurately and on a timely basis;
VI. Expedite orders or checks if an error or unreasonable delay occurs;
VII. Roll out new products and programs;
VIII. Implement changes in the Compensation Plan or Policies and Procedures that affect the Boutique Partner;
IX. Support, protect and defend the integrity of the Style Dots Business Opportunity;
X. Offer Boutique Partners an opportunity to grow with Style Dots with such growth guided by the principles of Servant Leadership.
B. In return, Style Dots expects that its Boutique Partners will:
I. Conduct themselves in a professional, honest, and considerate manner;
II. Present Style Dots corporate and product information in an accurate and professional manner;
III. Present the Compensation Plan and Return Policy in a complete and accurate manner;
IV. Make reasonable efforts to support and train Boutique Partners on their team.
1.2 Style Dots Policies and Compensation Plan Incorporated into the Boutique Partner Agreement
A. Throughout these Policies, when the term “Agreement” is used, it collectively refers to the Style Dots Boutique Partner Agreement, these Policies and Procedures, and the Style Dots Compensation Plan.
B. It is the responsibility of the mentoring Boutique Partner to provide the most current version of these Policies and Procedures (available on the Style Dots Website) the Style Dots Income Disclosure and the Style Dots Compensation Plan to each applicant prior to his or her execution of a Boutique Partners Agreement.
1.3 Purpose of Policies
A. Style Dots is a direct sales company that markets products and services through Independent Representatives referred to as Boutique Partners. To clearly define the relationship that exists between Boutique Partners and Style Dots, and to explicitly set a standard for acceptable business conduct, Style Dots has established these Policies and Procedures.
B. Style Dots Boutique Partners are required to comply with (i) all of the Terms and Conditions set forth in the Boutique Partner Agreement, which Style Dots may amend in its sole discretion; (ii) all Federal, state, provincial, territorial, and local laws governing his or her Style Dots business; and (iii) these Policies and Procedures.
1.4 Changes, Amendments, and Modifications
A. Because federal, state, and local laws, as well as the business environment, periodically change, Style Dots reserves the right to amend the Agreement and the prices in its Style Dots Product Price List in its sole and absolute discretion. Notification of amendments shall appear in Official Style Dots Materials. This provision does NOT apply to the arbitration clause found in Section 13, which can only be modified via mutual consent.
B. Any such amendment, change, or modification shall be effective immediately upon notice by posting on the official Style Dots Web site or via email.
2.0 BASIC PRINCIPLES
2.1 Becoming a Style Dots Boutique Partner
A. To become a Boutique Partner, an applicant must comply with the following requirements:
I. Be of the age of majority in his or her state of residence, unless a properly executed Minor Application Form is executed;
II. Reside or have a valid address in the United States, or U.S. territory;
III. Have a valid Social Security Number, Federal Tax ID Number, or Taxpayer Identification Number (TIN);
IV. Submit a properly completed and signed Boutique Partner Agreement and necessary Financial Documents (W-9 and Direct Deposit Form) to Style Dots;
2.2 New Boutique Partner Registration
A. When available a potential new Boutique Partner may self-enroll on the mentor’s web site. In such event, instead of a physically signed Boutique Partner Agreement, Style Dots will accept the web enrollment and Boutique Partner Agreement by accepting the “electronic signature” stating the new Boutique Partner has accepted the terms and conditions of such Boutique Partner Agreement. Please note that such electronic signature constitutes a legally binding Agreement between the Boutique Partner and Style Dots.
B. Style Dots reserves the right to require signed paperwork for any account, regardless of origin.
C. If requested the signed Boutique Partner Agreement must be received by Style Dots within14 days of enrollment.
2.3 Rights Granted
A. Style Dots hereby grants to the Boutique Partner a non-exclusive right, based upon the terms and conditions contained in the Boutique Partner Agreement and these Policies and Procedures, to:
I. Purchase Style Dots products and services;
II. Promote and sell Style Dots products and services; and
III. Mentor new Boutique Partners and customers in the United States.
2.4 Identification Numbers
A. Each Boutique Partner is required to provide his or her Social Security Number, or Federal Tax Identification Number, if located in the United States or any of its territories, to Style Dots on the financial documents. Style Dots reserves the right to withhold commission payments from any Boutique Partner who fails to provide such information or who provides false information. If Financial Documents are not received within 30 days of enrollment, Style Dots reserves the right to terminate the Boutique Partner Agreement and corresponding account.
B. Upon enrollment, Style Dots will provide a Style Dots User ID to the Boutique Partner. This will be used to place orders, structure organizations, and track commissions and bonuses.
2.5 Renewals and Expiration of the Boutique Partner Agreement
The term of the Boutique Partner Agreement is one year from the date of its acceptance by Style Dots. The Company may elect to renew the Boutique Partners Agreement and collect an annual renewal fee from the Boutique Partner. Continuation of a Boutique Partner’s business following renewal by the Company, including continued acceptance of bonuses and commissions, constitutes the Boutique Partner’s acceptance of the renewal of the Boutique Partner Agreement.
A. If the Boutique Partner’s agreement expires, the Boutique Partner will lose any and all rights to his or her down line organization unless the Boutique Partner re-activates within 30 days following the expiration of the Agreement.
B. If the former Boutique Partner re-activates within the 30-day time limit, the Boutique Partner will resume the rank and position held immediately prior to the expiration of the Boutique Partner Agreement. However, such Boutique Partner’s paid as level will not be restored unless he or she qualifies at that payout level in the new month. The Boutique Partner is not eligible to receive commissions for the time period that the Boutique Partner’s position was expired.
C. Any Boutique Partner who was terminated or whose agreement has expired and lapsed the 30-day grace period who wants to re-apply for a Style Dots business must repurchase a Boutique Showcase and enroll with the same mentor if within the 6 months following the expiration of the Boutique Partner Agreement. Following the 6-month mark, a Boutique Showcase must still be purchased but the Boutique Partner may choose a new mentor.
D. The down line of the expired Boutique Partner will roll up to the immediate, active up line mentor. The down line cannot be moved from the newly assigned mentor if the Boutique Partner re-enrolls after the 30-day grace period. If an immediate, active upline mentor does not exist, Style Dots will assign the downline to new mentors.
2.6 Personal Web Site (PWS) Requirements:
A. To maintain status as an active Boutique Partner each Boutique Partner must purchase and maintain a Style Dots created Personal Web Site. Each Boutique Partner must renew his/her Boutique Partner Style Dots Personal Web Site each month and pay the applicable renewal fee of $9.95 (plus tax if applicable) on the monthly anniversary date of such Boutique Partner’s initial PWS charge occurs.
B. If the charge to the Boutique Partner’s Style Dots Personal Web Site fee declines:
-Style Dots will NOT attempt to recharge your PWS credit card on file.
-Style Dots will notify via the email on file the Boutique Partner after the credit card is declined.
-The Boutique Partner will have 10 days from the time of the decline to call the office and fix the declining card, paying in full for any fees due.
-The Boutique Partner will not have the ability to purchase from their web site until the declining card is resolved.
-If 10 days elapses from the time of the credit card decline the Boutique Partner will be terminated from Style Dots.
-72 hours prior to termination a final warning will be emailed to the Boutique Partner and their mentor/leader.
C. Any Boutique Partner who has been terminated and lapsed the 30-day grace period must re-apply to Style Dots as a new Boutique Partner by purchasing a Boutique Showcase.
D. Any online sales that occur on an expired website will be considered corporate sales. Commission will not be paid to Boutique Partners whose personal websites fees are not current.
E. The down line team of the terminated Boutique Partners will roll up to the immediate, active up line mentor.
2.7 Business Entities
A. A corporation, partnership, LLC, or trust (collectively referred to as a “Business Entity”) may apply to be a Style Dots Boutique Partner. This Boutique Partner business and position will remain temporary until the proper documents are submitted. The entity must submit one of the following documents: Certificate of Incorporation, Articles of Organization, Partnership Agreement or appropriate trust documents, including a completed IRS Form W-9. Style Dots must receive these documents within 14 days from the date the Boutique Partner Agreement was signed.
B. A Style Dots Boutique Partner may change its status under the same mentor from an individual to a partnership, LLC, corporation, trust or from one type of business entity to another.
C. The name of a Boutique Partner’s Business Entity may not contain the words “Style Dots” or “Your Story is Our Story” or “Boutique Social” or “Fashion Dots”, “Home Dots”, “Dots” or “Story Dots”, “Dot Reveals”, “Couture Dots”, or any derivative of the foregoing.
D. If any Affiliated Party wants to terminate his or her relationship with the Business Entity or Style Dots, the Affiliated Party must terminate his or her affiliation with the Business Entity, notify Style Dots in writing that he or she has terminated his/her affiliation with the Business Entity, and must comply with the provisions of Boutique Partner Agreement. In addition, the Affiliated Party foregoing their interest in the Business Entity may not participate in any other Style Dots business for six consecutive calendar months.
E. There is a $25.00 fee for each change request, which must be included with the written request and the completed Boutique Partner Agreement. The modifications permitted within the scope of this section do not include a change of Up-line Boutique Partner.
2.8 Independent Business Relationship; Indemnification for Actions
A. The Style Dots Boutique Partner is an independent contractor, and not a purchaser of a franchise or business opportunity. Therefore, each Boutique Partner’s success depends on his or her independent efforts.
B. The agreement between Style Dots and its Boutique Partners does not create an employer/employee relationship, agency, partnership, or joint venture between Style Dots and the Boutique Partner.
C. The Style Dots Boutique Partner is fully responsible for all of his or her verbal and written communications made regarding Style Dots products, services, and the compensation plan that are not expressly contained within official Style Dots materials. Boutique Partners shall indemnify and hold harmless Style Dots, its directors, officers, employees, and agents from any and against all liability including judgments, civil penalties, refunds, attorney fees and court costs incurred by Style Dots as a result of the Boutique Partner’s unauthorized representations or actions. This Provision shall survive the termination of the Style Dots Boutique Partner Agreement.
2.9 Errors or Questions
A. If a boutique partner has questions about, or believes any errors have been made regarding commissions, bonuses, business reports, orders, or charges, the Boutique Partner must notify Style Dots in writing within 30 days of the date of the error or incident in question. Any such errors, omissions or problems not reported within 30 days shall be deemed waived by the Boutique Partner.
3.0 Style Dots Boutique Partner Responsibilities
3.1 Correct Addresses
A. It is the responsibility of the Boutique Partner or customer to make sure Style Dots has the correct shipping address before any orders are shipped.
B. A Boutique Partner or Customer will need to allow up to 30 days for processing after the notice of address change has been received by Style Dots.
C. A Boutique Partner or customer may be assessed a $20 fee for returned shipments due to an incorrect shipping address.
3.2 Training and Leadership
A. Any Style Dots Boutique Partner who mentors another boutique partner into Style Dots must perform authentic assistance and training functions to ensure his or her down line is properly operating his or her Style Dots business. Mentoring Boutique Partners should have ongoing contact and communication with the boutique partners in their down line organizations. Examples of communication may include but are not limited to: newsletters, written correspondence, telephone, contact, team calls, voice-mail, e-mail, personal meetings, accompaniment of down line Boutique Partners to Style Dots meetings and training sessions and any other related functions.
B. Use of Sales Aids. To promote both the products and the opportunity Style Dots offers, Boutique Partners must use the sales aids and support materials produced by Style Dots. If Style Dots Boutique Partners develop their own sales aids and promotional materials, which include Internet advertising, notwithstanding Boutique Partners’ good intentions, they may unintentionally violate any number of statutes or regulations affecting a Style Dots business. These violations, although they may be relatively few in numbers, could jeopardize the Style Dots opportunity for all Boutique Partners. Accordingly, Boutique Partners must submit all written sales aids, promotional materials, advertisements, websites and other literature to the Company for Company’s approval prior to use. Unless the boutique partner receives specific written approval to use the material, the request shall be deemed denied. All Boutique Partners shall safeguard and promote the good reputation of Style Dots and its products. The marketing and promotion of Style Dots, the Style Dots opportunity, the Compensation Plan, and Style Dots products and services shall be consistent with the public interest, and must avoid all discourteous, deceptive, misleading, unethical or immoral conduct or practices.
C. For Style Dots Directs/Directors, the following requirements of Style Dots Policies and Procedures must be followed for these leaders to remain in good standing:
1. Have $300 in PV one month per quarter.
2. Support your team by holding monthly team meetings, maintaining regular correspondence, remaining knowledgeable of corporate announcements. Refer to 3.2.A
3. Exclusively work Style Dots as their only direct sales company. A company is considered direct sales when ongoing monthly commissions can be earned off the sales/purchases of others. Not working Style Dots exclusively does not exclude you from leading a team, being a Director or monthly commissions, but prevents you from the additional compensation of the Annual Director Bonus Pool.
If a Direct or Director loses good standing by not adhering to items 1 and 2 above, Style Dots, LLC will act and may move the team to a leader that is adhering to the above qualifications. They will not lose the use of the titles they have earned, however involvement in some activities is based on paid as status, not career title.
3.3 Constructive Criticism; Ethics
A. Style Dots desires to provide its independent Boutique Partners with the best products and services and Compensation Plan in the industry. Accordingly, Style Dots values constructive criticism and encourages the submission of written comments addressed to Style Dots compliance department.
B. Negative and disparaging comments about Style Dots, its products or Compensation Plan, by Boutique Partners made to Style Dots, in the Field or at Style Dots meetings or events, or disruptive behavior at Style Dots meetings or events, serve no purpose other than to dampen the enthusiasm of other Style Dots Boutique Partners. Style Dots boutique partners must not belittle Style Dots, other Style Dots Boutique Partners, Style Dots products or services, the Compensation Plan, or Style Dots directors, officers, or employees. Such conduct represents a material breach of these Policies and Procedures and may be subject to sanctions as deemed appropriate by Style Dots.
C. Style Dots endorses the following code of ethics:
I. A Style Dots Boutique Partner must show fairness, tolerance, and respect to all people associated with Style Dots, regardless of race, gender, social class or religion, thereby fostering a “positive atmosphere” of teamwork, good morale and community spirit.
II. A Boutique Partner shall strive to resolve business issues, including situations with up line and down line boutique partners, by emphasizing tact, sensitivity, good will and taking care not to create additional problems.
III. Style Dots Boutique Partners must be honest, responsible, and professional and conduct themselves with integrity.
IV. Style Dots Boutique Partners shall not make disparaging statements about Style Dots, other Boutique Partners, Style Dots employees, products, services, sales and marketing campaigns, or the Compensation Plan, or make statements that unreasonably offend, mislead or coerce others.
V. Corporate Social Media Page Conduct: Style Dots Boutique Partners shall not:
- Contact potential new clients or Boutique Partners that YOU did not personally bring to the FB Live. Don't FB message them or troll them or try and get them to contact YOU. This includes reaching out to people you don’t know that comment on a post.
- DO NOT advertise YOUR personal Style Dots business or PWS on the Style Dots FB Lives, posts, or ads.
- DO NOT comment as your page. Example: You can post as your personal page - Name - You can't post as your business page - Name, Independent Style Dots Boutique Partner
- DO NOT comment bait the new viewers. Example: "I love Style Dots! MY team is growing SO FAST!" (Aka; You should contact ME to be on a fast team.)
- Please be enthusiastic! You can express your love for the product. You can even give #StyleDotsGoodNews when Style Dots asks for it! Feel free to share any graphics posted.
D. Style Dots may take appropriate action against a Boutique Partner if it determines, in its sole discretion, that a Boutique Partner’s conduct is detrimental, disruptive, or injurious to Style Dots or to other Boutique Partners.
3.4 Reporting Policy Violation
A. A Boutique Partner who observes a policy violation by another Boutique Partner should submit an email of the violation directly to the Style Dots Corporate office. The letter shall set forth the details of the incident as follows:
I. The nature of the violation;
II. Specific facts to support the allegations;
IV. Number of occurrences;
V. Persons involved; and
VI. Supporting documentation
B. Once the matter has been presented to Style Dots, it will be researched thoroughly by the Compliance department and appropriate action will be taken if required.

B. Style Dots recognizes the mentor as the name(s) shown on the first:
I. Physically signed Style Dots Boutique Partner agreement on file; or
II. Electronically signed Boutique Partner agreement from the Style Dots website or Boutique Partner’s web site.
C. All active Boutique Partners in good standing have the right to Mentor and enroll others into Style Dots. While engaged in mentoring activities, it is not uncommon to encounter situations when more than one Boutique Partner will approach the same prospect. It is the accepted courtesy that the new prospect will choose their mentor when an issue arises.
3.6 Compliance with Applicable Income Tax Laws
A. Style Dots will automatically provide a complete 1099 Miscellaneous Income Tax form (nonemployee compensation) to each US boutique partner whose earnings for the year is at least $600 or who has purchased more than $5,000 of Style Dots products for resale or who received trips, prizes or awards valued at $600 or more. If earnings and purchases are less than stated above, IRS forms will be sent only at the request of the Boutique Partner by December 31 for the current tax year, and a minimum charge of $20 will be assessed by Style Dots per request.
B. Style Dots encourages all Boutique Partners to consult with a tax advisor for additional information for their business.
3.7 Actions of Household Members or Affiliated Parties
If any member of a Boutique Partner’s immediate household engages in any activity which, if performed by the Boutique Partner, would violate any provision of the Agreement, such activity will be deemed a violation by the Boutique Partner and Style Dots may take disciplinary action pursuant to these Policies and Procedures against the Boutique Partner. Similarly, if any individual associated in any way with a corporation, partnership, LLC, trust or other entity (collectively “Business Entity”) violates the Agreement, such action(s) will be deemed a violation by the Business Entity, and Style Dots may take disciplinary action against the Business Entity. Likewise, if a Boutique Partner enrolls in Style Dots as a Business Entity, each Affiliated Party of the Business Entity shall be personally and individually bound to, and must comply with, the terms and conditions of the Agreement.
3.8 Solicitation for Other Companies or Products
A. A Style Dots Boutique Partner may participate in other direct sales, multilevel, network marketing or relationship marketing business ventures or marketing opportunities. However, during the Term of this Agreement and for one (1) year thereafter, a Style Dots Boutique Partner may not recruit any Style Dots Boutique Partner or Style Dots Customer for any other direct sales or network marketing business, unless that relationship with the Boutique Partner predates their enrollment with Style Dots, LLC. If necessary, it fall on the mentoring Boutique Partner to prove the previous relationship.
B. The term “recruit” means actual or attempted solicitation, enrollment, encouragement, or effort to influence in any other way (either directly or through a third party), another Boutique Partner or Style Dots Customer to enroll or participate in any direct sales or network marketing opportunity other than Style Dots. This conduct represents recruiting even if the Boutique Partner’s actions are in response to an inquiry made by Style Dots Boutique Partner or Customer.
C. During the term of this Agreement and for a period of six (6) months thereafter, any Style Dots Boutique Partner must not sell, or entice others to sell, any competing products or services, including training materials, to Style Dots Customers or Boutique Partners. Any product or service in the same category as a Style Dots product or service is deemed to be competing (i.e., any competing product or service regardless of differences in cost or quality.)
D. A Boutique Partner may not display or bundle Style Dots products or services, in sales literature, on a website or in sales meetings, with any other products or services to avoid confusing or misleading a prospective Customer or Boutique Partners into believing there is a relationship between Style Dots and non-Style Dots products and services.
E. A Style Dots Boutique Partner may not offer any non-Style Dots opportunity, products or services at any Style Dots related social, event, meeting, seminar or convention, or immediately following a Style Dots event.
F. In such event, Style Dots may, at its sole discretion, impose any sanction it deems necessary and appropriate against such Boutique Partner or such Boutique Partner’s distributorships including termination, or seek immediate injunctive relief without the necessity of posting a bond.
3.9 Presentation of the Style Dots Opportunity
A. In presenting the Style Dots opportunity to potential customers and Boutique Partners, a Boutique Partner is required to comply with the following provisions:
I. A Boutique Partner shall not misquote or omit any significant material fact about the Compensation Plan.
II. A Boutique Partner shall make it clear that the Compensation Plan is based upon sales of Style Dots products and services and upon the mentoring of other boutique partners.
III. A Boutique Partner shall make it clear that success can be achieved only through substantial independent efforts.
IV. A Style Dots Boutique Partner shall not make unauthorized income projections, claims, or guarantees while presenting or discussing the Style Dots opportunity or Compensation Plan to prospective boutique partners or Customers.

VI. A Boutique Partner may not use official Style Dots material to promote the Style Dots business opportunity in any country where Style Dots has not established a “presence.”
VII. In an effort to conduct best business practices, Style Dots has developed the Income Disclosure Statement (“IDS”). The Style Dots IDS is designed to convey truthful, timely, and comprehensive information regarding the income that Style Dots Boutique Partners earn. In order to accomplish this objective, a copy of the IDS must be presented to all prospective Boutique Partners.
A copy of the IDS must be presented to a prospective Boutique Partner anytime the Compensation Plan is presented or discussed, or any type of income claim or earnings representation is made.
The terms “income claim” and/or “earnings representation” (collectively “income claim”) include: (1) statements of average earnings, (2) statements of non-average earnings, (3) statements of earnings ranges, (4) income testimonials, (5) lifestyle claims, and (6) hypothetical claims. A. Style Dots Boutique Partners may purchase Style Dots products and Style Dots will provide suggested selling prices. There are no exclusive territories granted to anyone. No franchise fees are applicable to a Style Dots business.
B. The Style Dots program is built on sales to the ultimate consumer. Style Dots encourages its Boutique Partners to only purchase inventory that they and their family will personally consume, will be used as a sales tool, or will be resold to others for their ultimate consumption. Boutique Partners must never attempt to influence any other Boutique Partner to buy more products than they can reasonably use or sell to retail customers in a month.

B. If an order is found to be fraudulent, Style Dots, LLC will delete the order and the Boutique Partner must re-order in compliance with Policies & Procedures.
C. A Boutique Partner shall not use another Boutique Partner’s or customer’s credit card or debit checking account to enroll in Style Dots or purchase products or services without the account holder’s written permission. Such signed and dated documentation must be kept by the Boutique Partner indefinitely in case Style Dots needs to reference this.
D. Regarding an order with an invalid or incorrect payment, Style Dots will attempt to contact the Boutique Partner by phone, mail or email in order to obtain another form of payment. If these attempts are unsuccessful after 10 business days, the order will be canceled.
E. Prices are subject to change without notice.
F. A Boutique Partner or Customer who is a recipient of a damaged or an incorrect order must notify Style Dots within 30 calendar days from receipt of the order and follow the procedures as set forth in these Policies.
4.2 Sales Tax Obligation
A. The Boutique Partner shall comply with all state and local taxes and regulations governing the sale of Style Dots products and services.
B. Style Dots will collect and remit sales tax on Boutique Partner orders. When orders are placed with Style Dots, sales tax is prepaid based upon the suggested retail price. Style Dots will remit the sales tax to the appropriate state and local jurisdictions. The Boutique Partner may recover the sales tax when he or she makes a sale. Style Dots Boutique Partners are responsible for any additional sales taxes due on products marked up and sold at a higher price. From time to time, a Boutique Partner may purchase a product at full retail price and that price will be used to collect full retails sales tax by Style Dots. If in the future Style Dots or the purchasing Boutique Partner sells that product at a discount, Style Dots is not responsible for any credit difference in sales tax as Style Dots is charged sales tax at the price when originally purchased. In this case, the product was sold to the Boutique Partner as the end consumer.

A. A Style Dots Boutique Partner may not re-label, re-package, or alter labels of any Style Dots product, or service, information, materials or programs in any way. Style Dots products and services must only be sold in the original packaging from Style Dots. Such re-labeling or re-packaging violates Federal and state laws, which may result in criminal or civil penalties or liability.

C. The name of Style Dots, each of its product names and other names that have been adopted by Style Dots in connection with its business are proprietary trade names, trademarks and service marks of Style Dots.
